Terms of service

The terms for agencies that use Merriwood. Plain English, and short.

Last updated 21 October 2026.

1. Who these terms are between

These terms are between Tomi Operations Ltd, trading as Merriwood, company number 17481730, registered office 66 Paul Street, London EC2A 4NA ("we", "us"), and the business that signs up to use Merriwood ("you"). They apply to businesses only, not to consumers.

2. The service

Merriwood is online software for running a staffing agency: worker records, client bookings, shifts, clock in, task checklists, timesheets and client reports. We may improve or change features over time. We won't remove a core feature you rely on without telling you first.

Features marked "soon" on our website are not part of the service until we tell you they're available.

3. Your account

  • You're responsible for who you give access to, and for keeping logins private.
  • You're responsible for the information you and your users put into Merriwood being accurate.
  • You must not use Merriwood for anything unlawful, or try to access other agencies' data.

4. Your legal duties stay with you

Merriwood helps you record and track checks such as right to work, identity, DBS and training. It does not carry out those checks for you, and it is not legal advice. You remain responsible for meeting the law and any regulator's requirements for your agency, including the checks you make before placing a worker.

5. Fees and payment

  • Fees are as shown on our pricing page or agreed with you in writing, charged monthly in advance unless you pay yearly.
  • Prices exclude VAT where it applies.
  • If a payment is more than 14 days late, we may pause access after giving you notice.
  • We'll give you at least 30 days' notice of any price change. Founding agency prices are fixed for the period agreed.

6. Length and ending

Your subscription runs month to month. Either of us can end it with 30 days' written notice. We can end it straight away if you seriously break these terms. When it ends, you can ask for a copy of your data within 30 days, after which we delete it, unless the law requires us to keep it.

7. Your data

The data you put into Merriwood belongs to you. For personal data about your workers and clients, you are the controller and we are your processor. We only use it to provide the service, keep it secure, keep each agency's data separate, and follow our data processing agreement, which forms part of these terms. Our privacy notice explains how we handle data about visitors to our website.

8. Availability and support

We work to keep Merriwood available at all times, but can't promise it will never be interrupted, for example during maintenance or problems with our hosting providers. We'll tell you about planned maintenance in advance where we can.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law. Otherwise, neither of us is liable for indirect or consequential loss, or loss of profit, and our total liability to you in any 12 months is limited to the fees you paid us in those 12 months.

10. Changes to these terms

We may update these terms. We'll tell you about important changes at least 30 days before they apply.

11. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
